Energy and Utilities

Oman’s energy and utilities sector is undergoing a profound transformation as the Sultanate implements large‑scale reforms to modernise its power and water industries, diversify its energy mix and accelerate the transition towards low‑carbon and renewable resources. Alongside the privatization and restructuring  of the conventional power sector, the Government of Oman is driving a major shift towards renewable energy, with solar, wind and green‑hydrogen capacity, develop integrated water and wastewater systems, and strengthen transmission and distribution infrastructure across the country.

AMJ’s projects and energy advises  sponsors, project developers,  lenders, multilateral institutions, government and state-owned entities,  EPC contractors and service providers  on the full lifecycle of large‑scale energy and utilities projects.  Our work spans conventional and renewable power, water desalination, wastewater treatment, district cooling, oil and gas infrastructure and downstream industries We act on procurement, development, financing, operation,  regulatory compliance, commercial contracting, privatisation and asset restructuring across the sector.

Our project and banking teams have acted for almost all Oman’s Independent Power Projects (IPPs), Independent Water Projects (IWPs), and Independent Water and Power Projects (IWPPs) projects in Oman including Al Manah IPP (1996)—the Middle East’s first IPP—and Barka 1, Oman’s first IWPP. These groundbreaking projects established new benchmarks for private sector participation in the utilities sector. Today, we continue to advise developers and lenders on the development, financing, and long‑term operation of Oman’s most significant IPPs, IWPs, and IWPPs. Our longstanding involvement and deep sector expertise make us a trusted partner in delivering essential national infrastructure.

AMJ is equally active in Oman’s renewables and energy‑transition market advising on solar, wind, green hydrogen and green ammonia projects. We have advised on the Harweel wind project, Oman’s first utility-scale farm, a 50MW project in Dhofar commissioned in 2019, advised Oman’s first utility‑scale solar IPP, the 100 MW Amin Solar Project, and are also actively involved in Oman’s emerging hydrogen economy, advising stakeholders on landmark projects. Clients rely on AMJ for integrated, commercially focused legal support across project development, financing, regulatory compliance and energy‑transition strategy.

Our capabilities extend beyond transactional project work to include regulatory restructuring and sector‑wide reform. AMJ advises Nama Holding on the privatisation and restructuring of Oman’s electricity transmission and distribution companies, including strategic support on the consolidation of distribution and supply entities into the new national structure. As part of this programme, AMJ acted as local counsel to Nama Holding on the landmark divestment of a 49% stake in Oman Electricity Transmission Company (OETC) to State Grid International Development (SGID), the largest Chinese investment in Oman and SGID’s first entry into the Middle East. The transaction formed a cornerstone of the Sultanate’s electricity‑sector privatisation strategy and strengthened the long‑term efficiency and resilience of Oman’s national grid.
