Prior to the formal introduction of Islamic banking and finance in Oman in 2011, our lawyers were engaged by the Government of Oman and key regulatory authorities to assist in reviewing and drafting the Islamic banking regulatory framework. We subsequently supported the establishment of the framework governing takaful (Sharia-compliant insurance) and sukuk (Islamic bonds) positioning the Firm at the forefront of the sector’s evolution in the Sultanate.

We also have extensive experience in structuring and implementing complex investment, finance and debt capital markets transactions that comply with Shariah principles while meeting all applicable regulatory requirements issued by the Central Bank of Oman and the Financial Services Authority of Oman.  Our practice is adept at delivering structures that operate either within fully Shariah‑compliant models or as part of hybrid Islamic–conventional financing arrangements.

We support Islamic financial institutions in developing new products and services, preparing Shariah‑compliant documentation and ensuring alignment with both commercial requirements and Shariah governance standards.

Recent Transactions

  • Advising the Government of Oman on its domestic and international sukuk programmes and their updates.
  • Advising Omani banks on bilateral conventional and Shariah-compliant financings for vessel acquisitions involving Omani SPV borrowers acquiring vessels, with the vessels then chartered onwards under bareboat charter arrangements, to charterers based in Liberia or other off-shore jurisdictions.
  • Advised banking clients with Islamic windows and corporate entities on Omani Rial and USD-denominated Islamic financing facilities, including the restructuring of facilities for infrastructure and real estate projects, as well as working capital requirements.
