Recent Transactions
- Assisted the Government of Oman with the drafting of the Public Debt Law of Oman.
- Assisted with drafting of the Executive Regulations issued by the Oman Chamber of Commerce and Industry.
- Advised Oman Investment Authority in connection with the establishment of Muscat Bourse Co SAOC (MSX) and the transfer to it of all assets, rights, duties and obligations earlier held by the Muscat Securities Market.
- Advised Oman Housing Bank SAOC on the Iskan Program facilitating housing finance for qualifying applicants.
- Advised a number of public joint stock companies including Al Suwadi Power Company SAOG, Al Batinah Power Company SAOG, Dhofar Generating Company SAOG, OQ Gas Networks SAOG, Musandam Power Company SAOG, Barka Desalination Company SAOG, Oman Reinsurance Company SAOG, National Bank of Oman SAOG and National Detergent Company SAOG in reviewing, drafting and updating corporate policy documents in order to procure their compliance with the Code of Corporate Governance for Public Stock Companies issued by the FSA.
- Assisted Barka Water and Power Company SAOG and Muscat City Desalination Company SAOG in relation to conducting board evaluations.
- Advised a number of closed joint stock companies including Electricity Holding Company Co SAOC (Nama Group), Iron Metallics Company SAOC, Arabian Industries SAOC and Ad Dhahirah Generating Company SAOC in reviewing, drafting and updating corporate policy documents in order to procure their compliance with the Code of Corporate Governance for Closed Stock Companies issued by the MOCIIP.
- Advised public joint stock companies, boards of directors, board committees, and senior management on complex corporate governance matters, regulatory developments, and directors' fiduciary and oversight responsibilities.
- Drafted the board and committee charters, governance policies, and related documentation governing board composition, independence, accountability, and decision-making processes.
- Delivered training sessions to members of the Board of Directors and executive management, on the Code of Corporate Governance for Public Stock Companies issued by the FSA, including advising in relation to board evaluation criteria and methodology to a number of public joint stock companies.
- Acting as legal advisor for a number of public and closed joint stock companies in relation to annual general meetings/ extra-ordinary general meetings.
