We advise principals, investors and financial advisers on the full spectrum of domestic and cross-border M&A activity, including public and private acquisition transactions, joint ventures and strategic alliances, restructuring and foreign investments.

Our team guides clients through all aspects of market entry and establishment in Oman, including the licensing and incorporation of all forms of entities recognised under Omani laws and applicable free‑zone regulations. This includes the formation of limited liability companies, joint‑stock companies, branches and representative offices, as well as the structuring of partnerships and other corporate vehicles as required.

We regularly advise on the establishment of entities within Oman’s free zones and special economic zones, and on the creation of 100% foreign‑owned companies under the US–Oman Free Trade Agreement where the investor and the proposed activity fall within the scope of the treaty. Our support covers the full lifecycle of establishment procedures, from regulatory notifications and capitalisation requirements to commercial registration, licensing and post‑incorporation compliance.

Our team also advises government entities and state-owned enterprises on privatisations and strategic partnerships across key sectors such as transport, logistics and power. This includes supporting pre‑IPO readiness phases, advising on complex sectoral restructurings and managing the transition of national workforces from public‑sector entities to private‑sector operators.

We routinely advise clients on the full range of  corporate governance and compliance matters, including sector-specific regulations, listing rules,  directors’ duties and liabilities, insider trading considerations, anti–money laundering requirements, employment and labour compliance, health and safety laws, environmental obligations and trade sanctions frameworks.

Recent Transactions

  • Advised the Government of the Sultanate of Oman on its acquisition of shareholding in SalamAir SAOC, a leading budget airline of Sultanate of Oman, from the existing shareholders.
  • Advised Blue Gas Arabia on its acquisition of shares in Muscat Gases Company SAOG through a bilateral acquisition of shares in a publicly listed company, followed by a mandatory tender offer.
  • Advised Abu Dhabi National Oil Company PJSC (ADNOC), ADNOC Drilling Company PJSC (ADNOC Drilling) and ADH RSC LTD (ADHRSC) in connection with ADNOC Drilling's acquisition, through its wholly owned subsidiary ADHRSC, of up to a 70% interest in the land rig business of Schlumberger Land Drilling Contractors.
  • Advised on Omani law aspects of the cross-border carve-out and divestiture of Total Safety U.S. Inc. to OpenGate Capital.
  • Advised Mohammed Al Barwani LLC (part of the Mohammed Al Barwani Group) on the sale of an 80% shareholding in MB Petroleum Services to ADNOC Drilling.
  • Advised Schlumberger Technology Corporation, as Omani counsel, on the corporate law aspects of the carve-out and orderly dissolution of its joint venture with Rockwell Automation, Inc.
  • Advised Solaris Investments Holding Limited on the proposed acquisition of a 23% equity stake in Salalah Mills Co. SAOG through a private placement transaction, including structuring, legal due diligence, transaction documentation, and regulatory consideration.
  • Advised Chia Hua International Pte. Ltd., as Omani counsel on its strategic onboarding as a joint venture partner and allotment of shares in an Omani limited liability company structured as a private placement.
  • Advised Honeywell International Inc., as Oman law counsel, on its acquisition of Sundyne from Warburg Pincus in an all-cash transaction.
  • Advised Fajr Capital, a sovereign-owned private equity firm based in the UAE, as Oman law counsel on the purchase of a majority stake in Aster's GCC (including Oman) business.
  • Advised Oman Qatar Insurance Company SAOC (OQIC) on its merger with Vision Insurance Company SAOG.
  • Acted for HSBC Oman SAOG in connection with its merger with Sohar International Bank SAOG.
